Carolin Corina Wagner is a lawyer with more than ten years of professional experience, focusing on financing, M&A, corporate law, commercial law and compliance.
She advises companies, shareholders and investors on all aspects of corporate and commercial law, including national and cross-border M&A transactions. Her transactional practice covers the structuring and execution of deals, from the preparation and negotiation of share purchase agreements, merger agreements and financing agreements to the related security documentation.
She also advises in the area of compliance, in particular in connection with the German Banking Act (KWG), the Anti-Money Laundering Act (GwG) and regulatory changes such as the Whistleblower Protection Act.

From July 2015 to March 2018, she worked at Raschke von Knobelsdorff Heiser Partnerschaft von Rechtsanwälten mbB in Hamburg, advising on real estate financing, real estate and M&A transactions as well as commercial and corporate law matters.
From April 2018 to July 2019, she was a senior associate at Watson Farley & Williams LLP in Hamburg, focusing on asset finance and shipping, in particular the financing of shipping companies and related security interests.
From August 2019 to June 2025, she worked at Schmidt-Jortzig Petersen Penzlin Partnerschaft von Rechtsanwälten mbB in Hamburg, most recently as Salary Partner. From July 2025 to December 2025, she served as in-house counsel for an international company operating in the mobile hospitals sector. Since January 2026, she has been working at valbeek.
