Capital markets law is one of valbeek's core areas of expertise. We support listed companies and their shareholders on an ongoing basis in fulfilling their obligations under capital markets law.

Compliance with these constantly changing obligations requires particular attention in view of the threat of severe sanctions, including the loss of voting and dividend rights.

Market Integrity

We provide comprehensive advice on the fulfillment of statutory reporting and disclosure obligations - in particular on all issues relating to periodical publicity, ad hoc publicity, compliance with insider trading regulations, the notification of significant voting rights, the maintenance of insider lists and the notification of directors' dealings. If necessary, we will of course also coordinate with the supervisory authorities, including representation in hearings and summary proceedings.

Investors

We also assist listed companies in their search for investors who will acquire a long-term stake in the company as an anchor shareholder through a capital measure (Private Investment in Public Entities (PIPE) transactions) and in takeover situations. We advise listed companies as well as investors (entrepreneurial families, family offices, other companies or financial investors) on all corporate and capital market law matters.

Our transactional portfolio in the field of capital market orientated companies includes advise on equity capital transactions, M&A transactions, structural measures and delistings (Going Private).
